Overview

These Terms of Use are concerning the MTronic Smart Building Solution. This solution is regulated under the Terms stated here and this serves as an agreement between you and us, as the purchaser and the seller. Please read it carefully before using the MTronic Smart Building Solution.

The MTronic Smart Building Solution and all the products/devices included are referred to as the ‘Product’. The MTronic Smart Building Application (for both iOS and Android) is referred to as the ‘App’. The Product and the App are collectively referred to as the ‘Services’.

• Our relationship: In this document, you as the purchaser or consumer will be referred to as ‘you’ or ‘your’, and we as the seller will be referred to as ‘we’, ‘us’, or ‘our’.
• Scope of the Terms: The use of our Services will be governed under these Terms of Use.
• Terms that are Out of Scope: The rules and regulations to use anything, which comes with the Services as a third-party software or a part of it, are out of the scope of this document.
• Age Limit: If you are a parent or a legal guardian of your children, these Terms of Use apply to you, when the users of our Services are your children. This infers that you will be responsible for the activities carried out by your children using our Services.

Access and use

• Permissions: We allow you to access and use our Services that this document is written for i.e., the Services you just purchased from us.
• Authorization: You are authorized to create an account with us and for other users. Doing so means that you are complying with the Terms mentioned in this document. It is highly recommended that you only create accounts for whom you trust. You as well as other authorized users can use our services under the Terms mentioned in this agreement.
• Sign up required: You are required to sign up with us to be able to use our Services. You are responsible for the authenticity of the information that you provide while registering with us. For more details, refer to our Privacy Policy document linked here.

Information that you submit

• Data we need: When using our Services, we may like you to submit some information with us. We or any of the third-party software, service(s), or hardware device(s) may also require capturing the way you interact with the elements of our Services.
  • Sign-up credentials: You are required to provide your name and email address to complete the sign-up process. The responsibility of the authenticity and security of your account credentials lies with you.
  • User Submissions: In some cases, our Services, or one or all the third-party software, service(s), or hardware device(s) may require you to submit your information with us. This document refers to them as ‘User Submissions’. We will not be responsible for any loss or damage to/from the User Submissions due to your failure to comply with the Terms mentioned in this agreement.
  • Data from Device: Since, we are committed to add innovation, efficiency, and reliability to our Services for everyone we may like to capture the way you use them or any of the third-party software, service(s), or hardware device(s) integrated with them. This data is referred to as ‘Data from Device’ in this document. By reading this document, you are bound to agree that you allow us to capture the Data from Device, however, it will remain your property and thus, your responsibilty.
  • Device and location access:Since some of our devices operate on the wireless mesh technology, we will need to access your device’s mesh connection to allow our products to communicate with your device(s). Note that we will also require your location to process where the components of our Product are installed and how to control them.
• Your shareable data: You understand that our Services may require you to interact with one or more integrated third-party software, service(s), and/or hardware device(s) to operate properly. To make that possible, the above-mentioned may like to capture or utilize the user submissions or the Data from the Device during their interaction with our Services. However, we do not retain the rights of any consequences of this third-party software, service, or hardware device interaction with your User Submissions or Data from Device.
• Your privacy matters: We understand, respect, and care for your data privacy. Therefore, we take appropriate physical, digital, and administrative measures to secure the data that we capture when you interact with our Services. These measures are taken according to the rules and regulations of Data Security and Protection, including other measures to maintain your data integrity and privacy.

HOWEVER, WE DO NOT CLAIM THAT ANY THIRD-PARTY SOFTWARE, SERVICE(S), OR HARDWARE DEVICE(S) CAN NOT USE YOUR SUBMISSIONS AND/OR DATA FROM YOUR DEVICE(S) FOR UNLAWFUL PURPOSES.

Updates

Since we are committed to providing quality services to our customers, as a part of the process, we may introduce enhancements in the hardware and/or software, delete or modify any features, fix any issues in the Services, etc. All of these changes are referred to as ‘Updates’.

By reading and agreeing to these Terms, you allow us to send you the Updates for our Services. The Updates will be installed automatically without any prior notice. You can also disallow the automatic installation in the settings of the respective Services. In this case, you will be asked to install the Updates when one is available from our side.

If you don’t install the latest Updates in time, you may face a product/service malfunction using our Services, or be at a security risk, etc. This may also lead to malfunction of any third-party software, service(s), or hardware device(s) integrated with our Services. In such a scenario, the responsibility of the Services’ failure to function properly, or any security breach retains with you and we cannot be held accountable for any losses that you may experience consequently.

Third party products, services, and hardware devices

You understand that our Services require internet and wireless mesh connectivity, internet and wireless mesh enabled devices, and some third-party software, service(s), and/or hardware device(s) to operate properly. In case any of these fails to function properly, we will not be responsible for the quality of services provided to you including that of the storage, networking, hosting, power, and others. We will not be accountable for the costs of any losses or damage caused to any living beings, property, personal or business reputation, and others, or delays or interruptions, due to the failure of any or all the above mentioned

Suspension and termination of our services

We reserve the right to suspend, terminate, or discontinue the Services for you or everyone at any point in time, temporarily or permanently. We can take any of the above steps without notifying you in advance for any or all of these reasons; system maintenance, legal matters, security measures, and others. WE CAN ALSO SUSPEND YOUR USER ACCOUNT IF WE FEEL THAT (A) YOU ARE MISUSING, ABUSING, OR DAMAGING THE INTEGRITY OF ANY USER, THIRD PARTY, OURS, OR ANY OF OUR SERVICES, OR (B) VIOLATING THE APPLICABLE LAWS OR AGREEMENT STATED HERE.
We will not be responsible for any changes, damages, price edits, discontinuation, or suspension of/related to our Services.

Ownership of intellectual property

We allow you to use our Services under the Terms mentioned in this agreement. However, the intellectual property rights remain with the creators and suppliers of our Services, and the third-party software owners whose software and services we may use.

• You are not allowed to modify, delete, abuse, or harm the brand identity in terms of its name, logo, color schemes, look and feel of the products, functionality, source code, and the nature of any element of our Services.
• You are not allowed to modify our digital content including our website content, Privacy Policy, Terms of Use, product UI labels, messages, notifications, user guides, and any content produced by us for our Services.
• While using our Services, you may get access to the content of different kinds from the third-party software, service(s), or hardware device(s) integrated with our Services. Know that we do not permit you to utilize, edit, harm, abuse, or delete any of the content generated by/for the above-mentioned. YOU MUST TAKE PERMISSION FROM THE CONCERNED PARTY BEFORE USING THEIR CONTENT, DATA, SERVICES, ETC. FOR ANY PURPOSE(S) OUTSIDE THE SCOPE OF OUR SERVICES PROVIDED TO YOU.

Disclaimers and Liability

We are on a mission to provide you with the best quality services through our products. However, know that we only provide you with the services ‘as available’. Since the quality of service is dependent upon several controllable/uncontrollable external factors including and not limited to power, Wi-Fi® and Wireless Mesh connections, internet speed, wiring of the building where our hardware is installed, performance of any third-party software, service(s), and/or hardware device(s), etc., we do not guarantee the availability, reliability, uptime, and accuracy of services, including accuracy of data, storage, and accessibility in different countries.
We will not be liable to you for any modification, price change, discontinuation, or suspension of our services or any damage or loss because of them.

Conclusion

The Term of Use is an agreement that you are bound to comply with all the terms mentioned above.

BY READING THIS, YOU UNDERSTAND AND ACKNOWLEDGE THAT (A) YOU AGREE TO ALL THE TERMS AND CONDITIONS MENTIONED IN THIS DOCUMENT (B) YOU WILL NOT ATTEMPT TO DAMAGE/HURT, DISRUPT, AND/OR ABUSE OUR SERVICES, INTELLECTUAL PROPERTY, DATA AND ANY PERSON INVOLVED, BY ANY MEANS, (C) YOU WILL NOT REVERSE ENGINEER TO DE-COMPILE, EDIT, OR DAMAGE THE SOURCE CODE OF OUR SERVICES, (D) YOU WILL NOT MODIFY, SELL, REPLICATE, DISTRIBUTE, PUBLISH, BROADCAST, OR LEASE OUR SERVICES OR ANY PART(S) OF IT AND OUR CONTENT, INCLUDING THIS AGREEMENT.
